10x Guarantee Terms

Noon guarantees that the recruiting work performed by Noon will generate at least 10x your Annual Subscription Value in recruiter time saved, up to a maximum Guarantee Target of $1,000,000.

Annual Subscription Value means the amount paid for 12 months of access to Noon's core recruiting platform, after discounts. One-time implementation fees, professional services, usage overages, third-party fees, and separately priced add-ons are not included unless expressly stated otherwise.

For multi-year agreements, the guarantee is calculated using the subscription fees attributable to the applicable 12-month guarantee period.

For example, if your Annual Subscription Value is $25,000, your Guarantee Target is $250,000 in recruiter time saved.

Recruiter time is valued at a standard rate of $60 per hour.

If Noon does not reach your Guarantee Target during the 12-month guarantee period, Noon refunds your Annual Subscription Value in full, provided your team has met the Minimum Active Use requirements below.

Noon measures the recruiting work the platform performs on behalf of your team and estimates the recruiter time that would otherwise have been required to complete that work manually.

This includes work such as:

• Sourcing and evaluating candidates
• Researching and verifying candidate information
• Preparing and completing recruiting outreach
• Managing candidate responses and follow-up
• Scheduling interviews
• Other recruiting tasks completed by Noon on your team's behalf

The total recruiter time saved is valued at $60 per hour and compared against your Guarantee Target.

Noon uses a standardized measurement methodology across customers so every customer is evaluated consistently.

Only legitimate recruiting work actually completed by Noon counts toward the guarantee. Duplicate, failed, artificial, or manipulated activity does not count.

The guarantee is available to customers that:

• Have signed an annual Noon subscription
• Keep their Noon account current and in good standing
• Meet the Minimum Active Use requirements below

The guarantee begins at the start of the applicable annual Noon subscription and applies to recruiting activity performed during that 12-month period.

The guarantee is designed for teams that genuinely use Noon as part of their recruiting workflow.

To remain eligible, your team must maintain consistent use of Noon throughout the guarantee period.

At a minimum, your team must:

• Have at least one user log in to Noon on three separate days each week
• Create at least one new role or search in Noon each week
• Keep any integrations required for your Noon workflows connected and operational
• Complete any customer actions reasonably required for Noon to continue performing recruiting work
• Keep your Noon account current and in good standing

There is no minimum number of candidates you must save, source, contact, or hire.

The purpose of these requirements is simply to make sure Noon is being actively used and has a reasonable opportunity to perform the recruiting work covered by the guarantee.

We understand that recruiting activity is not identical every week.

Your team may fall below the Minimum Active Use requirements during up to two months of the 12-month guarantee period without losing the guarantee.

Those months may be consecutive or non-consecutive.

If your account has a third non-qualifying month, the guarantee ends and you are no longer eligible for a refund for that guarantee period.

Progress under a terminated guarantee does not carry forward.

Noon will notify you if our records show that your account is at risk of falling out of compliance with the guarantee.

The guarantee is intended to accommodate normal changes in recruiting activity.

There is no requirement to maintain a specific candidate volume or number of hires.

However, Noon must remain in genuine use. Extended hiring freezes, customer-requested pauses, disconnected workflows, or other circumstances that prevent Noon from performing recruiting work may cause a month not to qualify.

The two permitted non-qualifying months are designed to provide flexibility for normal fluctuations in hiring activity.

At the end of the 12-month guarantee period, Noon compares the measured value of recruiter time saved against your Guarantee Target.

If Noon has reached or exceeded the Guarantee Target, the guarantee has been fulfilled.

If Noon has not reached the Guarantee Target, Noon refunds your Annual Subscription Value in full: the subscription fees you paid for the 12-month guarantee period.

The refund covers the core Noon subscription included in the Annual Subscription Value used to calculate your Guarantee Target. One-time implementation fees, professional services, usage overages, third-party fees, and separately priced add-ons are not refunded unless expressly stated otherwise.

The refund is issued to the original payment method after the end of the 12-month guarantee period, once the measurement has been completed and confirmed.

The refund is available provided your team met the Minimum Active Use requirements during the guarantee period, allowing for the two permitted non-qualifying months.

The $1,000,000 cap applies to the Guarantee Target. It does not reduce the refund of your Annual Subscription Value.

Your Guarantee Target is ten times your Annual Subscription Value.

For example:

• $10,000 paid: $100,000 Guarantee Target
• $25,000 paid: $250,000 Guarantee Target
• $50,000 paid: $500,000 Guarantee Target
• $100,000 paid: $1,000,000 Guarantee Target

The maximum Guarantee Target is $1,000,000.

If 10x your Annual Subscription Value exceeds $1,000,000, your Guarantee Target remains $1,000,000.

We use a standardized recruiter labor value of $60 per hour so every customer is measured against the same benchmark.

We do not change the hourly rate based on your team's salaries, geography, seniority, or individual recruiting costs.

This gives every customer a simple and consistent way to measure the recruiting work Noon performs on their behalf.

The guarantee supplements your underlying Noon subscription agreement.

Your subscription agreement continues to govern your use of Noon, payment obligations, confidentiality, liability, governing law, and other contractual terms.

If there is a conflict between the guarantee terms and your subscription agreement, the applicable written guarantee terms control solely with respect to the guarantee.
